In response to COVID-19, Upflex has provided Space Partners with the ability to specify within the Upflex booking platform that a Space complies with CDC guidelines (for Spaces located within the United States) and/or the World Health Organization or other applicable local and/or regional governing body’s guidelines and requirements (for Spaces located outside the United States) (collectively, the “COVID-19 Guidelines for Businesses”) relating to sanitation and appropriate social distancing.

Given the ever-changing guidance around best practices to prevent the spread of COVID-19, a Space Partners must agree to the following in order to specify in the Upflex booking platform that a Space complies with the COVID-19 Guidelines for Businesses:

  • The Space Partner must check the COVID-19 Guidelines for Businesses at a minimum of daily for new guidance and requirements for sanitation, social distancing, and all other measures applicable to businesses and employers, and all applicable COVID-19 Guidelines for Businesses must be implemented at the Space.
  • The Space Partner represents and warrants that the individual responsible for specifying a Space complies with the COVID-19 Guidelines for Businesses has the authority to legally bind the Space Partner and has the authority and knowledge to guarantee adherence to the COVID-19 Guidelines for Businesses. The Space Partner is ultimately responsible for the compliance of each of its individual members (e.g., its employees, contractors, and other service providers), as well as compliance of the Space, with the COVID-19 Guidelines for Businesses.
  • The Space Partner must regularly communicate with Guests regarding Space closures, incidents, and/or changes that impact compliance with the COVID-19 Guidelines for Businesses.
  • The Space Partner understands and agrees that all actions taken by the Space Partner relating to Spaces are done so at the Space Partners own risk (including, but not limited to, (i) the Space Partner marketing a Space as complying with the COVID-19 Guidelines for Businesses at its own risk, and (ii) the Space Partner continuing to offer Spaces for use by Guests).

As always, Space Partners offer Spaces for use by Guests at their own risk. Upflex has no control over and does not endorse any User, Guests, Space Partners, or Space. You should always exercise due diligence and care when deciding whether to accept a booking request from a User, or communicate and interact with other Users, whether online or in person.

These Program Additional Terms of Use are an addendum to our Terms of Service and our Space Partner Terms, which remain applicable at all times. Defined terms used herein have the meanings set forth in the Terms of Services.
